Non-Disclosure Agreements (NDA) Policies and ProceduresProcedure for nondisclosure agreement (NDA) requests by the JMP Sales Team (including AEs and SEs):
- Confirm if JMP really needs to see the customer’s data.
In most cases, JMP does not want or need to receive confidential information from customers due to the significant risk such disclosure can bring. JMP should only enter into NDAs in the limited case where JMP needs to see the customer’s confidential information to complete a potential sale.
- Complete the NDA Checklist and specify if data will be transmitted electronically.
If your customer requires an NDA, complete the NDA Checklist to request the NDA.
NOTE: If the customer will be transmitting any data to JMP electronically, specify such on this checklist.
- If the customer wants to send data to JMP electronically, STOP as additional review is required.
- Jon Weisz’s approval must be obtained before JMP agrees that a customer may transmit data to JMP electronically.
- If Jon approves, then review the SAS Governance, Risk and Compliance (GRC) team’s process that must be followed before a customer sends data to JMP. See: Third Party Data Handling Standard.
- As directed by the GRC, you must send the customer the SAS Third Party Data Receipt Form for completion and signature. Once completed, you must submit this form to the GRC for review. You may not move forward in receiving the customer’s data until the GRC approves such data transmittal.
- JMP will not negotiate the terms of the standard NDA or review a customer’s NDA if the agreement associated with the NDA is under $50,000.
Any exceptions to the NDA rule of non-negotiation must be approved by Jon Weisz.
- Lastly, as a reminder, JMP Sales should never suggest entering into an NDA with a customer unless SAS/JMP confidential information will be shared (this would only occur in very limited circumstances).
JMP can engage in sales discussions without an NDA.
